## 1. ACCEPTANCE OF TERMS

Welcome to Muse & Co ("we," "us," or "our"). By accessing our website (ncmuse.co), using our mobile application, visiting our physical location, creating an account, making a purchase, booking classes or events, using our WiFi network, or engaging with our AI chatbot assistant ("BaristaBot"), you ("you" or "user") agree to be bound by these Terms of Service ("Terms").

**IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.**

These Terms constitute a legally binding agreement between you and Muse & Co. We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the modified Terms.

## 2. SERVICES OFFERED

Muse & Co operates as a hybrid creative space offering:

### 2.1 Food & Beverage Services
- Boba tea, coffee, tea, specialty drinks, and food items
- Customizable beverages (size, ice level, sugar content, milk alternatives)
- Online and in-store ordering
- Guest checkout available (no account required)

### 2.2 Art Classes & Workshops
- Weekly recurring art classes with limited seating (10 seated spots)
- Drop-in attendance (same-day, subject to availability)
- Workshops and special events
- Professional instruction included or available as add-on
- Materials typically included or available for purchase

### 2.3 Private Events & Space Rental
- **Art Space Only** (500 sq ft, up to 12 people)
- **Entire Venue** (1,200 sq ft, up to 30 people)
- Professional easels, tables, lighting, and wash stations
- Add-on services available (instructors, art supplies, beverage packages)

### 2.4 Membership Programs
- Three tiers: Basic ($25/month), Premium ($45/month), Elite ($85/month)
- Monthly auto-renewal subscriptions
- Discounts on classes, workshops, menu items, and space bookings
- Priority registration and exclusive member benefits

### 2.5 Gallery & Art Sales
- Featured local artists
- Artwork available for purchase
- Community display space

### 2.6 Complimentary WiFi
- Free high-speed internet for all customers
- Priority bandwidth for members

### 2.7 AI Chatbot Assistant (BaristaBot)
- Menu recommendations and ordering assistance
- Event information and booking help
- General business inquiries
- Powered by artificial intelligence (OpenAI GPT-4o-mini)

## 3. ACCOUNT CREATION & USER DATA

### 3.1 Account Registration
- You may create an account to access enhanced features
- You must provide accurate, current, and complete information
- You must be at least 13 years old to create an account
- You are responsible for maintaining the confidentiality of your password
- You are responsible for all activities that occur under your account

### 3.2 Data Collection
We collect the following information:
- **Account Data**: Email address, name, phone number (optional), password (encrypted)
- **Order Data**: Purchase history, payment information (processed via Stripe), membership status
- **Behavioral Data**: Chat logs with BaristaBot, website analytics, session tracking
- **Location Data**: Physical location when using in-store services

### 3.3 Data Usage
Your data is used to:
- Process orders and payments
- Manage memberships and subscriptions
- Provide customer service and support
- Improve our services through analytics
- Send transactional emails and member communications
- Comply with legal obligations

### 3.4 Data Security
- Passwords are hashed using bcrypt encryption
- Payment information is processed securely via Stripe (we do not store credit card numbers)
- Session-based authentication with 7-day token expiration
- All data stored in secure Cloudflare D1 database

### 3.5 Data Retention
- Account data retained while account is active
- Order history retained for 7 years (tax/legal compliance)
- Chat logs retained for service improvement and security monitoring
- You may request account deletion at any time (certain records retained for legal compliance)

## 4. PAYMENT TERMS

### 4.1 Payment Processing
- All payments processed securely via Stripe
- We accept major credit cards and digital payment methods
- Prices displayed in USD and include applicable taxes
- Member discounts automatically applied at checkout

### 4.2 Pricing & Fees
- Prices subject to change without notice
- Current prices displayed on website and in-store
- Tips optional for menu orders
- Promotion codes may have restrictions and expiration dates

### 4.3 Billing Cycles
- One-time purchases: Charged immediately upon order confirmation
- Memberships: Monthly auto-renewal from signup date
- Space bookings: 50% deposit at booking, 50% due 24 hours before event
- Subscriptions continue until cancelled

### 4.4 Failed Payments
- Membership: Ends immediately on the day of non-payment
- No grace period - access and benefits terminate on payment failure
- You remain responsible for outstanding balances
- You may reactivate membership by updating payment method and paying current month

## 5. REFUND & CANCELLATION POLICIES

### 5.1 Menu Items & Food/Beverage
- No refunds after order preparation has begun
- Refunds available for incorrect orders or quality issues
- Report issues within 24 hours of purchase

### 5.2 Classes & Workshops
- **Full Refund**: Cancellations 7+ days before event
- **Partial Refund**: Cancellations 48-72 hours before event (50% refund)
- **No Refund**: Cancellations within 48 hours of event
- We may cancel classes due to low enrollment (full refund provided)

### 5.3 Space Bookings
- **Minimum 48-hour advance booking required**
- **Full Refund**: Cancellations 7+ days in advance
- **Deposit Forfeiture**: Cancellations within 48 hours forfeit 50% deposit
- **Damage Deposit**: $200 refunded if no damage to property

### 5.4 Memberships
- Cancel anytime (benefits continue until end of current billing period)
- No refunds for partial month usage
- Cancellation takes effect at next billing cycle
- Upgrade/downgrade available (changes at next billing cycle)

### 5.5 Force Majeure
- We reserve the right to cancel events due to weather, emergencies, or circumstances beyond our control
- Full refund or rescheduling option provided for force majeure cancellations

## 6. HEALTH, SAFETY & LIABILITY

### 6.1 CHOKING HAZARD - TAPIOCA BOBA PEARLS

**WARNING: Tapioca boba pearls present a choking hazard, particularly for:**
- Children under 5 years of age
- Elderly individuals
- Persons with swallowing difficulties
- Anyone eating quickly or without proper chewing

**By ordering beverages containing boba/tapioca pearls, you:**
- Acknowledge this choking risk
- Agree to supervise children consuming boba beverages
- Release Muse & Co from liability related to choking incidents
- Understand that boba pearls must be chewed thoroughly before swallowing

**Alternative Options Available:**
- We offer boba-free versions of all drinks
- Request "no boba" or "light ice" if concerned about choking risk
- Our staff can recommend safer alternatives for young children

### 6.2 Food Allergens & Dietary Restrictions

**ALLERGEN WARNING:** Our menu items may contain:
- Dairy and milk products
- Tree nuts (almond, coconut)
- Soy
- Gluten
- Eggs
- Other common allergens

**We CANNOT guarantee allergen-free preparation due to:**
- Shared equipment and workspace
- Cross-contamination risks
- Third-party ingredient suppliers

**If you have food allergies:**
- Inform staff before ordering
- Review ingredient lists (available upon request)
- We offer milk alternatives (oat, almond, soy, coconut)
- We are not liable for allergic reactions

### 6.3 Art Materials & Paint Safety

**PAINT & ART SUPPLIES LIABILITY:**

**By participating in art classes, workshops, or using our art space, you acknowledge:**

1. **Clothing & Personal Items:**
   - Paint, clay, glaze, and art materials may stain or damage clothing, shoes, accessories, and personal belongings
   - **We are NOT responsible for damage to clothing, personal items, electronic devices, jewelry, or any belongings**
   - We strongly recommend wearing old, comfortable clothes that can be easily washed
   - Aprons provided but do not guarantee protection
   - Remove valuable jewelry, watches, and electronics before painting

2. **Material Exposure:**
   - Art materials may contain chemicals, pigments, and substances that can cause skin irritation or allergic reactions
   - Proper ventilation provided but some individuals may be sensitive to fumes
   - Wash hands thoroughly after handling art materials
   - Notify staff immediately if you experience irritation or adverse reactions

3. **Workspace Risks:**
   - Art spaces contain sharp tools, hot equipment (kilns, pottery wheels), and slippery surfaces
   - Supervise children at all times (under 16 requires guardian present)
   - Follow all staff instructions regarding equipment use
   - Use provided safety equipment (aprons, gloves, eye protection when needed)

4. **Assumption of Risk:**
   - You voluntarily assume all risks associated with art activities
   - You release Muse & Co, its owners, employees, and instructors from liability for injuries, property damage, or loss
   - This includes but is not limited to: paint stains, chemical exposure, slips/falls, cuts, burns, equipment malfunctions

### 6.4 Physical Premises Safety

**By entering our physical location, you acknowledge:**

1. **Wet Surfaces:**
   - Wash stations and beverage areas may have wet floors
   - Caution signs posted where applicable
   - Report spills to staff immediately

2. **Hot Beverages & Equipment:**
   - Coffee, tea, and hot water can cause burns
   - Pottery kilns and equipment reach high temperatures
   - Keep children away from hot equipment

3. **Slip, Trip & Fall Hazards:**
   - Art supplies, electrical cords, and equipment present tripping hazards
   - Watch your step in art workspace areas
   - Wear appropriate closed-toe shoes (recommended for art activities)

4. **Emergency Procedures:**
   - Emergency exits clearly marked
   - First aid kit available at front counter
   - Fire extinguishers located throughout facility
   - Follow staff instructions in case of emergency

### 6.5 Age Restrictions & Supervision

- **Art Space Bookings**: All ages welcome; children under 16 must have guardian present at all times
- **Private Studio Access (Elite Members)**: 18+ only
- **Alcohol Service**: 21+ with valid ID; entire event must be 21+ if alcohol served
- **Online Account Creation**: Must be 13+ years old

### 6.6 General Liability Waiver

**BY USING OUR SERVICES, YOU AGREE THAT:**

- Muse & Co is NOT liable for personal injury, property damage, or loss occurring on premises or resulting from our services
- You assume all risks associated with food/beverage consumption, art activities, and use of our facilities
- You release Muse & Co, its owners, officers, employees, agents, and instructors from all claims, demands, and causes of action
- This waiver applies to the fullest extent permitted by law
- If you do not agree to these liability terms, do not use our services

**Premium ($45/month) - MOST POPULAR:**
- 20% discount on workshops, 20% discount on 4-week class passes
- 15% discount on menu items
- 1 free drop-in per month (subject to availability)
- Two free guest passes per month
- Complimentary beverage on each visit
- Monthly one-on-one artist consultation

**Elite ($85/month):**
- 30% discount on workshops, 30% discount on unlimited class pass
- 25% discount on menu items, 10% discount on space bookings
- Unlimited free drop-ins (subject to availability)
- Four free guest passes per month
- Private studio access (4 hours/month, 18+ only)
- Personal art mentor sessions
- Free artwork storage (6 months)

### 7.2 Special Membership Discounts

**Military Discount (20% off):**
- Valid for active duty, veterans, and military families
- Must provide valid military ID at signup and verification

**Student Discount (15% off Basic & Premium):**
- Valid for high school and college students
- Must provide valid student ID

### 7.3 Membership Terms

- **Auto-Renewal**: Memberships automatically renew monthly
- **Payment Failure**: Membership ends immediately on the day of non-payment; no grace period
- **Reactivation**: Update payment method and pay current month to reactivate
- **Cancellation**: Cancel anytime; benefits continue until end of billing period
- **Upgrades/Downgrades**: Changes effective at next billing cycle
- **Drop-Ins**: Subject to seat availability; usage resets monthly
- **Guest Passes**: Non-transferable; subject to availability
- **Membership Non-Transferable**: Cannot be shared, sold, or transferred

### 7.4 Membership Abuse & Termination

We reserve the right to suspend or terminate memberships for:
- Fraudulent use of discounts or benefits
- Sharing membership credentials
- Disruptive behavior
- Violation of these Terms
- Non-payment (membership terminates automatically)

## 8. CLASS & WORKSHOP POLICIES

### 8.1 Registration & Seating

- Weekly classes have **limited seating: 10 seated spots** with easels/workspace
- Pre-registration recommended and guarantees seat
- **Drop-Ins Welcome**: Same-day attendance if seats available after pre-registration
- If all 10 seats pre-booked, drop-ins cannot attend that day
- Members receive priority registration

### 8.2 Class Conduct

- Arrive on time (late arrivals may miss instruction)
- Follow instructor guidance and safety protocols
- Treat equipment, materials, and facilities with respect
- Be courteous to other participants
- Children under 16 must be supervised by guardian at all times

### 8.3 Class Cancellations

- We may cancel classes due to low enrollment, instructor illness, or emergencies
- Registered participants notified via email at least 24 hours in advance
- Full refund or rescheduling option provided

### 8.4 Materials & Artwork

- Most classes include materials; some may require purchase of additional supplies
- Completed artwork belongs to participant
- We are not responsible for lost, damaged, or forgotten artwork
- Elite members receive free artwork storage (6 months)

## 9. SPACE BOOKING POLICIES

### 9.1 Booking Requirements

- Minimum 48-hour advance booking required
- 50% deposit due at booking confirmation
- Remaining 50% due 24 hours before event
- $200 damage deposit required (refunded if no damage)
- Valid payment method required

### 9.2 What's Allowed

**Art Space Only & Entire Venue:**
- Non-adhesive decorations
- Music/A/V equipment (reasonable volume)
- Photography and videography
- Battery-powered candles

**Entire Venue Only:**
- Outside catering (food handler's permit required)
- Alcohol service (proper permits and insurance required; 21+ event only)

### 9.3 What's NOT Allowed

- Smoking or vaping (including e-cigarettes)
- Open flames or real candles
- Glitter, confetti, or difficult-to-clean materials (cleanup fees apply)
- Pets (except service animals under ADA)
- Illegal activities or substances
- Excessive noise disturbing neighboring businesses
- Adhesive decorations (tape, nails, tacks)

### 9.4 Outside Catering Rules (Entire Venue Only)

If bringing outside catering:
- Must provide food handler's permit/certification from caterer
- Must have liability insurance (certificate of insurance required)
- No raw meat preparation allowed on premises
- Caterer responsible for food safety and cleanup
- Muse & Co not liable for food-related illness or issues

### 9.5 Alcohol Service (Entire Venue Only)

If serving alcohol:
- Event must be 21+ (all attendees require valid ID)
- Host must obtain appropriate permits/licenses
- Host responsible for compliance with North Carolina ABC laws
- Host liable for guests' actions and over-service
- We reserve the right to refuse service or end event for safety concerns

### 9.6 Damage & Cleanup

- Damage deposit: $200 (refunded within 7 days if no damage)
- Host responsible for reasonable cleanup
- Excessive mess or damage deducted from deposit
- Additional charges for repairs/professional cleaning beyond deposit

### 9.7 Parking

- Free street parking on Hay Street (2-hour limit during business hours)
- Paid parking lot behind building ($5 flat rate evenings/weekends)
- **Entire Venue bookings**: 10 reserved parking spaces included

## 10. WIFI TERMS OF USE

### 10.1 Access

- Complimentary WiFi provided to all customers
- Members receive priority bandwidth
- Connection instructions available at counter or via mobile app

### 10.2 Acceptable Use Policy

**By using our WiFi, you agree NOT to:**
- Engage in illegal activities
- Access, transmit, or distribute illegal, obscene, or harmful content
- Attempt to hack, breach security, or interfere with network
- Download or share copyrighted material illegally
- Spam, phish, or engage in fraudulent activities
- Use excessive bandwidth for commercial purposes
- Harass or threaten others online

### 10.3 Network Security & Privacy

- WiFi network provided "as-is" without warranties
- We do not monitor your browsing but reserve the right to investigate suspected violations
- Use VPN for sensitive activities (we are not responsible for data security)
- Disconnect after use to protect your device

### 10.4 Violations

- We reserve the right to terminate WiFi access for violations
- Serious violations may result in ban from premises
- Illegal activities reported to law enforcement

## 11. AI CHATBOT (BaristaBot) TERMS

### 11.1 Service Description

- BaristaBot is an AI-powered assistant using OpenAI GPT-4o-mini
- Provides menu recommendations, event information, and business inquiries
- Available on website and mobile app
- Responses are informational only

### 11.2 Limitations & Disclaimer

**BaristaBot is NOT:**
- A substitute for professional medical, legal, or financial advice
- Capable of making binding commitments or reservations (always confirm with staff)
- Guaranteed to be accurate or complete
- Able to process payments or access your account

**You acknowledge:**
- AI responses may contain errors or inaccuracies
- Always verify critical information with staff
- BaristaBot cannot guarantee product availability or pricing
- We are not liable for decisions made based on BaristaBot responses

### 11.3 Chat Logging & Privacy

- Conversations logged for service improvement and security
- No personally identifiable information should be shared in chat
- Session-based tracking (session IDs, not personal accounts)
- Chat logs stored securely in database
- We do not share chat data with third parties (except OpenAI for processing)

### 11.4 Security & Abuse Prevention

**Our chatbot has security measures to detect:**
- Prompt injection attempts
- Code execution attempts
- Attempts to extract system instructions or data
- Harassment, spam, or abusive language

**Prohibited Chat Conduct:**
- Attempting to manipulate or "jailbreak" the AI
- Submitting harmful, illegal, or abusive content
- Excessive requests (rate limited to 20 per minute)
- Using chat for non-business purposes

**Violations may result in:**
- Temporary or permanent chat access suspension
- Account suspension
- Ban from using our services

## 12. INTELLECTUAL PROPERTY

### 12.2 User-Generated Content

**By submitting content (reviews, photos, artwork images, comments):**
- You grant us a non-exclusive, worldwide, royalty-free license to use, display, and promote your content
- You represent that you own rights to the content or have permission to submit it
- You agree not to submit illegal, defamatory, or infringing content

### 12.3 Artwork & Photography

- Artwork created by you during classes/workshops belongs to you
- Photos taken by Muse & Co staff at events may be used for marketing (opt-out available upon request)
- Gallery artwork remains property of the artist until sold
- You retain copyright to your created artwork

### 12.4 Social Media & Marketing

- We may photograph/video events and classes for marketing purposes
- By attending public events, you consent to being photographed/recorded
- Private events: We will obtain explicit consent before photography
- Request removal of photos/videos by contacting info@ncmuse.co

## 13. PROHIBITED CONDUCT

### 13.1 General Prohibitions

**You agree NOT to:**
- Violate any laws or regulations
- Infringe on intellectual property rights
- Harass, threaten, or harm others
- Impersonate others or provide false information
- Interfere with our website, systems, or security measures
- Use services for commercial purposes without authorization
- Resell memberships, discounts, or services
- Share account credentials
- Attempt to gain unauthorized access to accounts or systems

### 13.2 Disruptive Behavior

**On premises, you must:**
- Respect staff, instructors, and other customers
- Follow posted rules and staff instructions
- Keep noise levels reasonable
- Maintain cleanliness and return items to proper locations
- Respect personal space and boundaries

**Prohibited:**
- Intoxication or disorderly conduct
- Fighting, harassment, or threatening behavior
- Theft or vandalism
- Creating unsafe conditions

### 13.3 Consequences

- Violation may result in immediate removal from premises
- Account suspension or termination
- Forfeiture of deposits, memberships, or pre-paid services
- Legal action and criminal prosecution
- Ban from future use of services

## 14. DISCLAIMERS & WARRANTIES

- Services provided "AS-IS" and "AS AVAILABLE"
- No warranties of merchantability, fitness for particular purpose, or non-infringement
- We do not guarantee uninterrupted, error-free, or secure service
- Website content may contain inaccuracies or errors

### 14.2 Third-Party Services

- We use third-party services (Stripe for payments, OpenAI for chatbot, Cloudflare for hosting)
- We are not responsible for third-party failures, outages, or data breaches
- Third-party services subject to their own terms and policies

- Art therapy or wellness programs are for recreational purposes only
- Not a substitute for professional medical, mental health, or therapeutic treatment
- Consult professionals for medical or psychological concerns

## 15. LIMITATION OF LIABILITY

**TO THE MAXIMUM EXTENT PERMITTED BY LAW:**

- Muse & Co's total liability for any claim arising from these Terms or use of services shall not exceed the amount you paid us in the 12 months preceding the claim
- For free services (WiFi, chatbot), liability limited to $100

### 15.2 Exclusion of Damages

**WE ARE NOT LIABLE FOR:**
- Indirect, incidental, consequential, special, or punitive damages
- Lost profits, revenue, data, or business opportunities
- Personal injury or property damage (except where caused by our gross negligence)
- Third-party actions or content
- Force majeure events (weather, natural disasters, pandemics, government actions)

### 15.3 Exceptions

- Nothing in these Terms limits liability for:
  - Death or personal injury caused by our gross negligence or willful misconduct
  - Fraud or fraudulent misrepresentation
  - Liability that cannot be excluded by law

- Your content or submissions
- Your violation of third-party rights
- Your negligent or intentional misconduct
- Food allergies or health issues you failed to disclose
- Damage to property or equipment caused by you

- Any disputes subject to exclusive jurisdiction of North Carolina state and federal courts in Cumberland County

### 17.2 Informal Resolution

- We will attempt good-faith resolution within 30 days

### 17.3 Arbitration (Optional)

- Parties may agree to binding arbitration under American Arbitration Association (AAA) rules
- Arbitration conducted in Fayetteville, NC
- Each party bears own costs unless otherwise awarded

### 17.4 Class Action Waiver

- You agree to resolve disputes individually, not as class actions or consolidated proceedings
- You waive right to participate in class action lawsuits

- No refunds for unused portions of memberships or pre-paid services (unless otherwise stated)

### 19.2 Termination by Us

**We may suspend or terminate your access immediately for:**
- Violation of these Terms
- Fraudulent activity or payment disputes
- Abusive, threatening, or disruptive behavior
- Illegal activity
- At our sole discretion with or without cause

### 19.3 Effect of Termination

- Upon termination:
  - Access to account and member benefits immediately revoked
  - Outstanding balances become immediately due
  - No refunds for unused memberships or services
  - We may delete your account data (certain records retained for legal compliance)

## 20. MISCELLANEOUS

### 20.1 Entire Agreement

- These Terms constitute the entire agreement between you and Muse & Co
- Supersedes all prior agreements, understandings, and communications

- Invalid provisions replaced with enforceable provisions that best reflect original intent

### 20.3 Waiver

- Our failure to enforce any provision does not waive our right to enforce it later

- You may not assign or transfer these Terms or your account
- We may assign these Terms to affiliates, successors, or purchasers without notice

### 20.5 Force Majeure

- We are not liable for delays or failures due to events beyond reasonable control (natural disasters, pandemics, wars, government actions, utility failures, internet outages)

### 20.6 Survival

- Provisions that by nature should survive termination will survive (liability limitations, indemnification, dispute resolution, intellectual property)

Tapioca boba pearls present choking risk for children under 5, elderly, and those with swallowing difficulties. Must be chewed thoroughly. We are not liable for choking incidents.
